Transmission Trouble?
I would see about doing a complete flush of the system by the dealer or other reputable transmission shop. Sounds like its way past due and could have overheated at one point. If this does not cure the problem it could be time for a new one. Good luck.
just put it on a lift or in your driveway, take off the pan, switch the filter, put on a new gasket, and bolt it back on. Add new tranny fluid, start her up. it should be good. Only a 2 hour job. probubly not even.
Being that the fluid looks ugly as you said, you may want to get a power flush from a tranny shop and get rid of all the fluid, dropping the tranny pan only gets rid of the fluid in the transmission case, but still leaves several quarts of old stuff in the torque converter. Make sure the proper fluid is used (Dextron III), as the wrong fluid will case wierd shifts, and make sure the transmission filter replaced.
