Rust? With rag tops rocker panel repair is the same as frame repair on other cars. Where the rocker panel connects to the firewall is a very important connection and mush be repaired correctly in order for the car to be aligned. This is a common rust point right behind the back of the front fender. This repair should only be done on a body jig.
I always worn people that a looking at first gen rag tops, there are a lot of "project" out there that are not worth fixing. They become hot potatoes, they work on the car then get a body shop quote, they have sticker shock then they put it up for sale and the cycle start all over again.
If this a rust free car your numbers seem about right, not a awesome deal but about market value. I can tell the top will be $1800 ish depending on labor in your area. If the frame needs rebuilt another $600 and if the power top needs done another $500. Interior and paint will depend on what you want.

Thanks for the info, the inner wheel wells are off so it will be easy to see. He claims rust free car throughout, but i will check it myself.
I figured about 2k for the Top and body and paint like you said depends on what you want. The Engine matches Vin has AC,PW,tilt wheel. cluster was reconditioned already motor suspension exhaust all done, hopfully correctly,
